NEVADA CITY, Calif., September 27, 1999 — Moving quickly to make official the agreement it unveiled last month, Grass Valley Group Inc. today announced that it had formally acquired the video content production business of Tektronix Inc. (NYSE: TEK). Along with the completion of its acquisition, the Grass Valley Group also announced the opening of new international offices in Cologne, Germany; London, England; Paris, France; and in Hong Kong. The company will remain headquartered in Nevada City, Calif., with engineering staffs in Beaverton, Ore. and Bangalore, India. The privately held company now owns a variety of Emmy® award-winning broadcast equipment, brands, and products, including the Profile® digital video server line and the Grass Valley™ router, switcher, and modular product lines as well as an extensive video content intellectual property portfolio. This collection, which builds on more than 40 years of television broadcasting experience, provides the Grass Valley Group with instant credibility among broadcast and video professionals worldwide and makes it a leading player in a market expected to require more than $10 billion of new equipment over the next decade.

"I am delighted to lead the Grass Valley Group into a new era of growth and success, for both the company and its customers," said Terry Gooding, chairman of the board and CEO of the Grass Valley Group. "After more than three decades of leading international technology businesses through product development and into growth markets, I have learned how to recognize and grow a winner. And the Grass Valley Group is a winner."

"The industry's newest and most exciting company — the Grass Valley Group — already is setting new standards in meeting the requirements of broadcasters and video professionals. At this year's International Broadcasting Convention, the Grass Valley Group leveraged a $60 million-plus research and development investment to launch next-generation products across all its major lines — 30 new offerings spanning servers, switchers, routers, and modular products.

Grass Valley Group Future

As the transition to digital production and transmission takes hold, many broadcast organizations are transforming themselves into media companies. These companies will be capable of delivering content to multiple digital pipelines — in applications for new markets ranging from e-cinema to the Internet. "Our new products will support customers as they develop and brand high-value content, regardless of its ultimate destination, and as they make the Internet and similar data services a vital part of their businesses," said Thorsteinson.

Whether it's distributing video over the air, through digital broadcast facilities and across standard data networks, or providing the industry's best video storage and production products, the Grass Valley Group has the digital solution. Approximately $1 billion of Grass Valley Group equipment is installed worldwide, with nearly 80 percent of television signals worldwide passing through it. Today the company continues that leadership with next-generation solutions across all its major product lines to enable video professionals to realize the full potential of going digital.

Grass Valley Group Inc. is privately held digital broadcast and video equipment company at the forefront of the transition to digital transmission and video content production.
